Terms of Service

By accessing or using NECTY ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you and that entity.

If you do not agree to these Terms, do not access or use the Service. Your continued use of NECTY after any modification to these Terms constitutes your acceptance of the updated Terms.

NECTY is an AI-powered opportunity intelligence platform that scans publicly available conversations across social media and review platforms — including Reddit, Facebook, TikTok, Instagram, Google Maps, YouTube, Maps, and others — to surface high-intent buying signals relevant to your business. The Service generates AI-assisted outreach drafts and provides analytics to help local service businesses connect with potential customers.

The Service includes, but is not limited to:

• Real-time scanning of public social conversations
• AI-generated opportunity scoring and lead summaries
• Automated outreach draft generation
• Analytics and reporting dashboards
• Workspace and team collaboration tools

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will endeavor to provide reasonable advance notice for material changes.

To use NECTY, you must:

• Be at least 18 years of age
• Be a business owner, authorized representative, or employee accessing the Service on behalf of a legitimate business entity
• Have the legal capacity to enter into binding contracts in your jurisdiction
• Not be prohibited from using the Service under applicable law

The Service is intended for business-to-business use. Consumer or personal use is outside the intended scope of NECTY.

You must create an account to access the Service. You agree to provide accurate, complete, and current registration information and to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@necty.ai if you suspect any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

You may not share your account credentials with any third party other than authorized team members within your workspace.

NECTY operates on a subscription basis. By selecting a subscription plan, you authorize us to charge the applicable fees to your designated payment method on a recurring basis (monthly or annually, depending on your plan selection).

Key billing terms:

• Free Trial: New accounts may be eligible for a 7-day free trial. No credit card is required to start a trial. Providing payment information and converting to a paid plan is required to continue using the Service after the trial period ends.
• Billing Cycle: Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.
• Price Changes:We may change subscription prices with at least 30 days' advance notice. Continued use after the notice period constitutes acceptance of the new pricing.
• Refunds: Subscription fees are non-refundable except where required by applicable law. We do not provide prorated refunds for partial billing periods.
• Failed Payments: If a payment fails, we may suspend your access to the Service until payment is resolved. Accounts with outstanding balances exceeding 30 days may be terminated.

All fees are exclusive of applicable taxes. You are responsible for paying any taxes imposed on your use of the Service.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use NECTY to:

• Send unsolicited commercial messages, spam, or any form of harassment
• Impersonate any person or entity, or falsely represent your affiliation with a person or entity
• Violate the terms of service of any third-party platform from which data is sourced (including Reddit, Facebook, Instagram, TikTok, YouTube, and Google)
• Engage in any form of automated scraping, crawling, or data extraction beyond what the Service explicitly provides
• Use AI-generated outreach in a deceptive manner that misrepresents the nature or capabilities of your business
• Collect, store, or process personal data in a manner inconsistent with applicable privacy laws
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Introduce viruses, malware, or any other harmful code into the Service
• Use the Service in any way that could damage, overburden, or impair the Service or interfere with other users' access

We reserve the right to investigate violations and take any action we deem appropriate, including suspending or terminating your account without notice.

The Service uses artificial intelligence to generate opportunity summaries, outreach drafts, and other content. You acknowledge and agree that:

• AI-generated content may be inaccurate, incomplete, or not suitable for your specific situation
• You are solely responsible for reviewing, editing, and approving any AI-generated content before sending it or acting on it
• You must comply with all applicable laws when sending outreach messages, including anti-spam regulations (CAN-SPAM, CASL, GDPR, etc.)
• NECTY does not guarantee any particular business outcomes from using AI-generated outreach

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

You are responsible for ensuring that your use of any personal data surfaced by the Service complies with applicable data protection laws, including the GDPR, CCPA, and other relevant regulations in your jurisdiction.

The Service and all underlying technology, content, trademarks, and intellectual property rights are owned by NECTY or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes in accordance with these Terms.

You retain all rights to your own data and content that you upload or input into the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service to you.

You must not copy, modify, create derivative works of, or otherwise exploit the Service or any part of it without our express written consent.

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• The results obtained from using the Service will be accurate, reliable, or meet your specific business requirements
• Any defects in the Service will be corrected within a specific timeframe
• The data sourced from third-party platforms will be complete or current

To the maximum extent permitted by applicable law, necty and its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or business interruption, arising out of or in connection with your use of the service.

In no event shall our total liability to you exceed the greater of (a) the amount you paid us in the 12 months immediately preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities; in such jurisdictions, our liability will be limited to the maximum extent permitted by law.

You may cancel your subscription and delete your account at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access to the Service immediately and without notice if:

• You materially breach these Terms
• We determine, in our sole discretion, that your use of the Service poses a risk to NECTY or other users
• We are required to do so by law or regulatory authority
• Your account has an outstanding payment that remains unpaid after 30 days

Upon termination, your right to use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will remain in effect.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within 30 days, the parties agree to resolve it through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any claim against NECTY must be brought in your individual capacity and not as part of a class or representative action.

We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email or by displaying a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

We encourage you to review these Terms periodically. The "Last updated" date at the top of this page indicates when the Terms were most recently revised.
